PUBLIC AGREEMENT (OFFER)

for ordering, purchase-sale and delivery of goods

This Agreement is an official and public offer by the Seller to conclude a contract of sale of the Goods presented on the website healthy.com.ua. This Agreement is public, i.e., in accordance with Article 633 of the Civil Code of Ukraine, its terms are identical for all Buyers regardless of their status (individual, legal entity, sole proprietor) without granting preference to any Buyer over another. By concluding this Agreement, the Buyer fully accepts the terms and the procedure for placing orders, paying for Goods, delivering Goods, returning Goods, liability for bad-faith ordering, and all other conditions of the Agreement. The Agreement is deemed concluded from the moment the “Confirm Order” button is clicked on the Checkout page in the “Cart” section and the Buyer receives electronic confirmation of the order from the Seller.

1. Definitions

1.1. Public offer (hereinafter – the “Offer”) – a public proposal by the Seller, addressed to an indefinite circle of persons, to conclude with the Seller a remote sale contract of Goods (hereinafter – the “Agreement”) under the terms contained in this Offer.

1.2. Goods or Service – the subject of the transaction chosen by the Buyer on the online store’s website and placed in the cart, or already purchased by the Buyer remotely from the Seller.

1.3. Online Store – the Seller’s website at www.healthy.com.ua created for concluding retail and wholesale sale contracts based on the Buyer’s familiarization with the Seller’s description of Goods via the Internet.

1.4. Buyer – a legally capable individual who has reached 18 years of age, receives information from the Seller, places an order to purchase Goods presented on the Online Store’s website for non‑entrepreneurial purposes, or a legal entity or sole proprietor.

1.5. Seller – LLC “Healthy Nutrition” (ID code 45631710), a legal entity established and operating under the laws of Ukraine, located at: Ukraine, Kyiv, Novopechersky Lane, 19/3, Building 3.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under this Agreement.

2.2. The date of conclusion of the Agreement (acceptance of the Offer) and the moment of full and unconditional acceptance by the Buyer are considered to be the date the Buyer submits the order form on the Online Store’s website, provided the Buyer receives electronic confirmation of the order from the Seller. If necessary, at the Buyer’s request, the Agreement may be formalized in writing.

3. Order Placement

3.1. The Buyer independently places orders through the “Cart” form on the Online Store, or by e‑mail or phone number provided in the Contacts section.

3.2. The Seller has the right to refuse order fulfillment if the Buyer’s information is incomplete or appears invalid.

3.3. When placing an order, the Buyer must provide the following mandatory information:

  3.3.1. Last name, first name;

  3.3.2. Delivery address (if shipping to the Buyer’s address);

  3.3.3. Contact phone number;

  3.3.4. Tax ID for legal entities or sole proprietors.

3.4. The name, quantity, SKU, and price of selected Goods are specified in the Buyer’s cart.

3.5. Either Party has the right to request additional information. If the Buyer fails to provide it, the Seller is not liable for service quality.

3.6. Orders placed via the Seller’s operator must include the same information (3.3–3.4). Upon order placement, the Buyer’s data is entered into the Seller’s database.

3.7. The Buyer is responsible for the accuracy of provided information.

3.8. By placing an order, the Buyer confirms they are fully acquainted with and agree to the Offer’s terms, consent to collection and processing of personal data, and acknowledge their rights under Ukrainian law.

4. Price and Delivery

4.1. Prices are set by the Seller and indicated in UAH on the website, VAT included.

4.2. The Seller may unilaterally change prices, but cannot alter the price of a fully paid item.

4.3. Delivery cost is paid separately according to carrier tariffs.

4.4. The Seller may provide an estimated delivery cost upon request.

4.5. Payment is considered fulfilled when funds are credited to the Seller’s account.

4.6. Payment methods are specified in the “Payment and Delivery” section.

4.7. Upon receipt, the Buyer must inspect the Goods in the presence of the carrier’s representative.

4.8. By signing the delivery receipt, the Buyer confirms no claims regarding quantity, appearance, or completeness.

4.9. Ownership and risk transfer upon delivery to the Buyer or carrier.

5. Rights and Obligations

5.1. Seller’s obligations:

  5.1.1. Deliver Goods per the Agreement and the Buyer’s order;

  5.1.2. Keep Buyer’s private data confidential, except as required by law or for order fulfillment.

5.2. Seller’s rights:

  5.2.1. Unilaterally amend the Agreement and prices by publishing changes on the website.

5.3. Buyer’s obligations:

  5.3.1. Review and agree to the Agreement’s content and prices;

  5.3.2. Provide accurate data for order fulfillment.

6. Returns

6.1. The Buyer may return non-food Goods of proper quality within 14 days, if unused and in original packaging, except items non‑returnable by law.

6.2. Refund within 30 days via bank transfer.

6.3. Return shipping at Buyer’s expense.

6.4. Claims for defects during the warranty period per consumer protection law.

6.5. Seller not liable for defects arising post‑delivery due to misuse, third‑party actions, or force majeure.

6.6. Custom-made Goods not returnable.

6.7. Returns sent to the address in “Contacts.”

7. Liability

7.1. Seller not liable for damage due to improper installation, use, or storage.

7.2. Seller not liable for delays due to Buyer’s incorrect data.

7.3. Parties liable per Ukrainian law.

7.4. Force majeure exemptions include war, natural disasters, etc.

8. Confidentiality and Data Protection

8.1. Buyer consents to unlimited processing of personal data per law.

8.2. Seller will not disclose Buyer data, except to fulfill the order or as required by law.

8.3. Buyer responsible for keeping data up to date.

9. Miscellaneous

9.1. Governed by Ukrainian law.

9.2. Disputes resolved by negotiation or by courts according to law.

9.3. Seller may amend the Agreement unilaterally or by mutual consent.
